Sales Terms & Conditions
1. OFFER & ACCEPTANCE
All quotations, proposals, and sales are subject to these Terms & Conditions. Any purchase order or direction to proceed constitutes acceptance.
2. PRICING & PAYMENT
Prices are subject to change without notice unless stated otherwise in writing. Payment is due according to the terms on the invoice. Late payments may incur finance charges.
3. TAXES
Purchaser is responsible for all applicable taxes, duties, and fees unless expressly stated otherwise.
4. DELIVERY
Delivery dates are estimates only. The seller is not liable for delays beyond its control. Risk of loss transfers to the purchaser upon shipment.
5. INSPECTION & ACCEPTANCE OF GOODS
Purchaser must inspect all products upon receipt and notify the seller of any defects or shortages within 5 business days. Failure to do so constitutes acceptance.
6. SPECIAL ORDER SALES – FINAL SALE
All special order, non-stock, custom, or made-to-order products are final sale. No cancellations, exchanges, returns, or refunds are permitted once the order is placed.
7. LIMITED WARRANTY
Products are warranted only to the extent of the original manufacturer’s warranty. The seller provides no additional warranties, express or implied.
8. LIMITATION OF LIABILITY
The seller’s liability is limited to repair, replacement, or refund of the purchase price at its sole discretion. The seller is not liable for incidental, consequential, or indirect damages.
9. NO ENGINEERING, DESIGN, OR SPECIFICATION SERVICES
The seller is not an engineer, designer, or specifier. The seller does not provide engineering advice, design services, product selection guidance, or application recommendations. Purchaser is solely responsible for verifying product suitability, compatibility, installation requirements, and compliance with applicable codes, regulations, and engineering standards.
10. INDEMNIFICATION
Purchaser shall indemnify and hold the seller harmless from any claims, damages, or losses arising from the purchaser’s selection, installation, or use of the products.
11. RETURNS
Returns require prior written authorization. Returned products must be in new, resalable condition. Restocking fees may apply. Special order items are not eligible for return.
12. FORCE MAJEURE
The seller is not responsible for delays or failure to perform due to events beyond its reasonable control.
13. GOVERNING LAW
These terms are governed by the laws of the state in which the seller is located.
14. ENTIRE AGREEMENT
These Terms & Conditions constitute the full and final agreement between the parties and supersede all prior discussions or representations.
15. BILL-TO-ACCOUNT / IN-STORE CREDIT TERMS
All sales billed to an in-store credit account are due in full by the 15th of the following month unless otherwise noted on the invoice. The purchaser agrees to pay all invoices without deduction, setoff, or withholding of any kind. The individual executing the purchase personally guarantees full payment and performance of all obligations associated with the sale.
